A. These ID Checker Terms govern how you can use Yoti’s ID Checker App to obtain digital information about a Customer to support your verification of whether a Customer is allowed to buy Goods from You.
B. These ID Checker Terms are a legal agreement between you and Yoti. By setting up an account to use ID Checker, You are agreeing to follow these ID Checker Terms.
C. IMPORTANT: We provide the technology to scan and validate specific QR codes issued by Verifiers – nothing more. We don’t sell goods, we don’t guarantee customers will pay you, and we’re not responsible for your business transactions. ID Checker is designed to support your Verification Process. You remain responsible for ensuring you meet all Applicable Laws.
Agreed Terms
1. Definitions and Interpretation
1.1. These ID Checker Terms, including the “About this Document” section, uses capitalised words and phrases which have specific meanings. The meaning of these words and phrases is set out below. Where the meaning is not set out below, it is given elsewhere in these ID Checker Terms.
| “Account” | Your access credentials to use, or permit Employees to use, ID Checker. The type of Account (free, paid for etc) you have depends on what was selected by you at the time of signing up to it. |
| “Applicable Law” | All relevant law or regulations on you in relation to the sale of Goods to a Customer, including data protection laws, consumer rights laws and those that places an obligation on you to carry out a Verification as part of the provision of Goods to Customers. |
| “Customer” | An individual presenting a QR Code to you for the purpose of purchasing the Goods. |
| “Employees” | Those people who you have appointed to carry out your Verification Process and use ID Checker. |
| “Goods” | The items you are selling to Customers for which you have a legal obligation to verify the Customer to ensure they meet the relevant qualification set out under Applicable Law to make the purchase. |
| “ID Checker App” | The Yoti Digital ID Connect ID Checker App that allows consumers to easily present a scannable QR code, online and offline to support a Verification Process. |
| “ID Checker Terms” | These Terms and Conditions as they may be updated from time to time on the Website. |
| “Premise” | A single location from which you carry out a Verification Process. |
| “QR Code” | The digital code issued by a Verifier and displayed by a Customer on their mobile device that you scan using ID Checker. |
| “Result” | The result provided to You by ID Checker after scanning the QR Code. |
| “Usage Limitations” | Any restrictions that may be placed on you for the nature or number of Results you may request or receive at any time. |
| “Verification Process” | The process You have in place for the sale of Goods to Customers in accordance with Applicable Law, which includes the use of ID Checker. |
| “Verifiers” | Any verification companies that issue a QR Code that can be read by ID Checker. A full list of Verifiers can be found at the Website. |
| “we”, “us”, “Yoti” | The Yoti entity identified in clause 19. |
| “Website” | www.digitalidconnect.com |
| “you”, “your”, “Business” | The business using ID Checker to verify its Customers. |
1.2. Any reference to a statute or statutory provision in a Contract Document includes amendments or re-enactments of that legislation, and any subordinate legislation.
1.3. Any phrase introduced by the terms including, include, or in particular, or any similar expression, are illustrative and do not limit the words preceding those terms.
2. Acknowledgement and Acceptance
2.1. By using ID Checker, you acknowledge and agree that:
a) You understand the purpose of ID Checker, how it works, the nature of a Result and its risks and limitations.
b) The decision to complete any transaction is entirely yours
c) You have appropriate business insurance for your operations
d) You are aware of the Applicable Laws and that you are responsible for, and must, comply with them.
e) You’ve read, understood, and agree to be bound by these ID Checker Terms in full
2.2. By creating an Account you confirm that:
a) You have authority to bind your business to these ID Checker Terms
b) You have read and understood these ID Checker Terms
c) You agree to comply with all obligations set out in these ID Checker Terms.
3. Creation of an Account and Your right to use the Account and ID Checker App
3.1. Yoti agrees to you creating an Account and make use of ID Checker available to you for use at one Premise pursuant to these ID Checker Terms. Unless agreed otherwise with us or permitted under your Account, you will require a different Account for each Premise you wish to use it in.
3.2. The features you are permitted to use in your Account depends on the type of Account you have chosen and Yoti grants you a limited, revocable, non-sublicensable, non-exclusive, non-transferable, royalty-free right for the duration of your permitted use of the Account to allow Employees to access and use the Account and ID Checker, subject to any Usage Limitations we set out from time to time.
3.3. The rights granted in this clause extends only to the use of ID Checker. Each Verifier may require you to enter into a separate Agreement with them to allow your use of ID Checker to accept QR Codes issued by that Verifier.
3.4. You are responsible for all security for and activity under your Account and will ensure that both you and Employees are aware of and will comply with these ID Checker Terms and the IAM Terms relating to use of the Account.
4. What ID Checker Does (and Doesn't Do)
4.1. Through ID Checker, we provide a technology platform that allows you to:
a) Scan a QR Code;
b) Receive a Result that You can take into account as part of Your Verification Process;
c) Access certain transaction records or features, the nature of which is dependent on the type of Account you have chosen.
4.2. In providing ID Checker, we are NOT responsible for:
a) Whether Customers actually pay you for Goods;
b) The quality, legality, or safety of Goods;
c) Any disputes between you and Customers regarding your use of the Result or any other aspect of the Verification Process;
d) Fraud or misrepresentation by Customers, including in how they obtained the QR Code;
e) The generation or accuracy of any QR Code or Result. These are subject to relevant terms with a Verifier.
f) Technical problems with your devices, internet connection, or scanning equipment;
g) Financial losses if a Result is incorrect or unavailable;
h) Any decisions you make based on a Result;
i) Customer data protection compliance (you’re responsible for this);
j) The Verification Process beyond ID Checker operating in accordance with these ID Checker Terms;
k) Refunds, returns, or Customer service issues.
4.3. A Result is for information only. The final decision to sell Goods to a Customer is always yours.
5. Your Responsibilities
5.1. You must:
a) Only use ID Checker for legitimate business purposes;
b) Keep your Account login details secure and confidential;
c) Ensure Employees using ID Checker are properly trained in both its use and how it fits in to your Verification Process;
d) Have appropriate internet connectivity and compatible devices;
e) Comply with all Applicable Laws;
f) Follow your own Verification Process;
g) use reasonable endeavours to prevent unauthorised access to your Account and report any security concerns or suspicious activity relating to ID Checker immediately;
h) provide (in a diligent and timely manner) all cooperation, personnel and materials reasonably requested by Yoti.
5.2. You must not:
a) Share your Account access with unauthorised people;
b) Attempt to hack, reverse-engineer, interfere with, decompile (except to the extent that such actions cannot be restricted under applicable law), modify, create derivative works of or otherwise create or derive the ID Checker App source code;
c) breach the security of ID Checker or render it unusable for any Customer;
d) use ID Checker or Yoti’s Confidential Information to develop a product or service that competes with Yoti’s;
e) Use ID Checker for illegal purposes, in violation of applicable law, to infringe third party rights or outside the scope permitted hereunder;
f) Scan a QR Code without the knowledge of the Customer to whom you reasonably believe the QR Code relates;
g) Seek to receive more Customer data from a QR Code than you need to comply with Applicable Laws or Store or misuse any Customer data obtained through ID Checker or your Account;
h) Rely solely on a Result without additional checks where those are required by Applicable Law;
i) Claim we endorse, guarantee, or insure your transactions;
j) Attempt to manipulate or bypass ID Checker system.
5.3. You are solely responsible for obtaining and maintaining any equipment, software and ancillary services needed to use ID Checker.
6. ID Checker App Availability and Accuracy
6.1. We provide ID Checker “AS IS” without any warranties or guarantees. This means we will use reasonable care and skill to the extent required by law in providing ID Checker but:
a) don’t guarantee ID Checker will always be available or error-free, but will use reasonable endeavours to achieve that.
b) We don’t guarantee Results are accurate, but will carry out the checks that lead to the QR Code and Results using reasonable care and skill.
c) We don’t promise the use of ID Checker and/or Results will meet your specific needs, even when you have made us aware of what those are.
d) Technical issues may occur, and we’re not liable for resulting losses of any sort unless they cannot be excluded by law.
6.2. Whilst we aim to minimise any time where ID Checker is not available to you, we may suspend your access to it, for the following reasons:
a) Emergency or routine maintenance being carried out for you or across the system;
b) If we suspect misuse by you or security threats.
7. Updates and new features or functions
7.1. From time to time, we will release updates and changes to ID Checker. The updates and changes, including releasing new features, will be made available to the type of Account we decide to be the most appropriate. If you want to access any features that are not available to your level of Account, you will need to sign up to the relevant level for which those features are offered.
7.2. We may release features initially as part of a free Account, but reserve the right to later add them as a pay account option. We will publish notice of this change at least 30 days notice in advance.
8. Fees and Payment
8.1. The cost of your use of ID Checker (“Fees”) and payment terms depends on the type of the Account you have chosen and is specified at the time you open your Account or in any subsequent change you make to the type of Account you have.
8.2. Fees are non-refundable unless we fail to provide the Service.
8.3. We may change fees with 30 days’ notice.
8.4. You must pay all applicable taxes.
8.5. If you don’t pay on time:
a) We may suspend your access to the Service.
b) We may charge interest at the rate of (a) 10% per annum; (b) and (if you are a UK entity) the rate then specified in the Late Payment of Commercial Debts (Interest) Act 1998, as it may be updated or replaced. Interest shall accrue on a daily basis from the due date until actual payment of the overdue amount, including before and after judgment. You must pay the interest together with the overdue amount.
c) We may pursue debt recovery action and you indemnify us for all costs incurred for doing so.
9. Our Liability to You
9.1. Only in relation to losses that are not excluded under clause 9.2, to the fullest extent permitted by law, our total liability to you for any claims arising from your use of the Service (whether for incorrect validations, system failures, data breaches, or anything else) is limited and to the higher of:
a) The fees you paid us in the 12 months before the claim; or
b) £1,000.
9.2. Except for liability for death, personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability which cannot be excluded or limited by English law, we are not, in any circumstances, liable for:
a) Lost profits, sales, revenue, or business opportunities;
b) Loss of Customers or damage to reputation;
c) Fraudulent transactions or Customer non-payment;
d) Goods being seized, destroyed, or deemed illegal;
e) Data loss or corruption;
f) Indirect or consequential losses of any kind;
g) Any losses caused by your failure to follow these ID Checker Terms or Verification Process, even when we would otherwise have had liability under these ID Checker Terms;
h) Actions or omissions of third parties (including Employees, Customers or any Verifiers other than Yoti);
i) Events beyond our reasonable control or not part of the ID Checker purpose (including any aspect of the issuance or underlying checks relating to QR Codes, internet outages, devices not working or any fraudulent activities by Customers or any other person not working for Yoti).
9.3. You confirm that you have industry-standard insurance coverage for your business sector and jurisdiction to cover your operations and do not rely on us to cover, and cannot recover from us, any losses that would be covered by an industry standard insurance document for your business.
10. Your Liability to Us
10.1. For the purpose of this clause 10, an “Action” means:
a) Someone making or threatening a legal claim against us because of your use of ID Checker or a Result;
b) A regulator commencing an investigation or making a finding against either us or you relating to any aspect of your Verification Process that is outside of our sole control or obligations under these ID Checker Terms; or
c) any person contacting us making enquiries about any failure in your Verification Process or handling of personal data that is outside of our sole control or obligations under these ID Checker Terms.
By way of example and not limiting the breadth of the above categories, the basis of an Action may include, (i) Illegal Goods you’ve sold; (ii) Your violation of these ID Checker Terms or your Verification Process; (iii) Your failure to use ID Checker in accordance with any instructions from us, whether specific to you, general to all ID Checker users, verbal or written and in any format; (iv) Your misuse of the Result; (v) Your breach of data protection laws; (vi) Misrepresentations to Customers about ID Checker.
10.2. In relation to any Action, you agree to indemnify us for:
a) All of our costs and expenses in dealing with that Action, including reasonable legal costs;
b) Compensate us for any damages we have to pay.
10.3. You also agree to co-operate fully with any steps we have to take in relation to an Action, including providing information within such a reasonable timeframe as we specify depending on any timeframes placed on us.
11. Security, Data Protection and Privacy
11.1. Yoti will maintain a security program materially in accordance with industry standards designed to: (a) ensure the security of data uploaded to your Account by you or your Employees (collectively, “Business Data”); and (b) prevent unauthorised access to Business Data.
11.2. Yoti’s security safeguards include holding SOC2 certification and measures for preventing access, modification or disclosure of your Confidential Information by Yoti personnel except: (a) to provide ID Checker to you and prevent or address problems; (b) as required by Applicable Law; or (c) as agreed to herein or by you.
11.3. We will not materially diminish the protections provided under clause 11.1.
11.4. Yoti publishes a Privacy Notice for ID Checker. It can be found at https://www.digitalidconnect.com/id-checker/privacy/. You confirm you have read and understood and agree with Yoti’s role and your role in data processing as described therein.
12. Intellectual Property
12.1. All intellectual property in the ID Checker belongs to us, including:
a) Software code and algorithms;
b) Design, logos, and branding;
c) Any information we publish or is published on our behalf about ID Checker;
d) The application used by Customers to generate a Yoti issued QR Code;
e) QR Codes generated by us;
f) Any feedback or suggestions you give relating to ID Checker; and
g) Result methodology.
12.2. Other Verifiers will have similar intellectual property rights in their QR Code generation. Yoti gives no assurances on the validity or rights in that intellectual property and no licence is given under these terms in relation to them.
12.3. You retain ownership of any data you input into the Account or otherwise supply to us so that we can provide you with ID Checker. However, you grant us a license to use this data to provide the Service and improve our systems.
13. Analytics
13.1. We may collect, use, and share statistics about how ID Checker is used. We can use this anonymised data for any purpose, including:
a) Improving our services;
b) Benchmarking and industry analysis;
c) Developing new features;
d) Research and analysis;
e) Marketing;
f) Sharing insights with third parties.
13.2. We will not include your confidential information in any datasets unless it has been sufficiently transformed so that it cannot be traced back to you. If you believe certain data types should not be used even in anonymised form, please notify us in writing at help@yoti.com.
13.3. You acknowledge that we are collecting and publishing geolocation data in relation to your Premise (and not in relation to any Employee) to record the location of a Result being provided and you will do nothing to try to block, prevent or otherwise cause such information to be distorted.
14. Confidentiality
14.1. Each party shall, for the duration of your use of ID Checker and thereafter, keep confidential all information of a confidential nature (including pricing, trade secrets and information of commercial value) which may become known to such party and which relates to or is owned by the other party. Neither party shall use the other party’s confidential information for its own purposes (other than implementation of these ID Checker Terms) nor, without the prior written consent of the other, disclose it to any third party (except its professional advisors or as may be required by any law or any legal or regulatory authority). The foregoing obligations shall not apply (or shall cease to apply) if that information: (a) is public knowledge or already known to such party at the time of disclosure; or (b) subsequently becomes public knowledge other than by breach of these ID Checker Terms; or (c) subsequently comes lawfully into the possession of such party from a third party. Each party shall use its reasonable endeavours to prevent the unauthorised disclosure of any confidential information; or (d) is required to be shared by a binding order from any governmental or regulatory authority which has the authority to force disclosure, any court or other authority of competent jurisdiction, providing that the disclosing party is given a reasonable time to dispute the order if possible.
15. Duration, Suspension and Termination
15.1. These ID Checker Terms come into force on the date you agree to them when creating your Account.
15.2. You can terminate by giving us 30 days’ written notice or such longer period (if any) as may be specified for your Account type.
15.3. We can terminate by giving you 14 days’ written notice except in the case of You breach the terms relating to security, fraud, or acceptable use, where termination can be immediate.
15.4. Either party can terminate immediately where the other party commits a material breach that is not capable of remedy, or a persistent breach of these ID Checker Terms.
15.5. We can suspend your access to any Account you have, regardless of Premise, for any of the following reasons:
a) We reasonably consider You have breached these ID Checker Terms;
b) We suspect fraudulent activity;
c) We’re required to do so by law or regulators;
d) Your use threatens our system security or a Verifiers’ or IDChecker’s public reputation;
e) You don’t pay Fees when due;
f) You enter into partnership with, are acquired by or become under the control of any entity that we consider a competitor to us in relation to any products we supply.
15.6. Any suspension under clause 15.5 may be carried out without prior notice to you, but we shall confirm it as soon as reasonably possible, and shall be for the minimum period possible for both parties to discuss, review and seek to resolve the issue to Yoti’s satisfaction. Where the suspension reason cannot be resolved to Yoti’s satisfaction, it shall be a breach under clause 15.4.
15.7. After Termination:
a) You must immediately stop using ID Checker;
b) You must pay any outstanding fees;
c) Sections that should survive (liability, indemnity, etc.) remain in force;
d) You must delete your Account within 5 days of the termination date. Failure to do so will give Yoti a right to delete it at any time without notice to you and any information in it that you require to prove you have complied with your Verification process may be lost. If you require Yoti to subsequently provide any information, to the extent that is possible, we shall be under no obligation to do so and may charge a fee.
16. Publicity
16.1. You shall not make, or permit any person to make, any public announcement concerning ID Checker without the prior written consent of Yoti (such consent not to be unreasonably withheld or delayed). This clause shall not in any way prevent you from informing Customers or the world generally that you accept QR Codes using ID Checker. Any marketing materials you use referencing ID Checker must be approved by Yoti in advance.
16.2. By using ID Checker, you grant us permission to:
a) Identify you as a user of ID Checker in our marketing materials, website, and presentations;
b) Use your company name and logo in our customer lists and promotional materials;
c) Publicly state that you use our services.
16.3. We will use your name and logo in accordance with your standard brand guidelines (if you provide them to us). We will not make specific claims about how you use our platform or the results you’ve achieved without your prior written approval.
16.4. If you do not want us to identify you publicly as a customer, you must notify us in writing at marketing@yoti.com and we will remove your name and logo from our materials within 30 days. However, we may still identify you in private communications with prospective customers unless you specifically request otherwise.
17. Communications
17.1. All legal notices to Yoti must be in writing and sent by registered post to:

With a copy sent by email to: legalnotice@yoti.com or such other email address as we may state in the most up to date version of these ID Checker Terms.
17.2. We’ll serve all legal and non-legal notices that are specific to you only by sending them to the email address used to set up your Account. It is your responsibility to keep these details up to date. Any general notices may be published in the app or on the Website.
17.3. Any communications to Yoti that are not legal notices can be sent by email to help@yoti.com.
17.4. Registered post is deemed to be served at the time it is received by Yoti as evidenced by a confirmation from the company carrying out the delivery. Emails are deemed served on the day they are sent (or if that day is not a business day in England, the first business day after it is sent) provided no delivery failure notice is received.
18. General Legal Terms
18.1. Entire Agreement: These ID Checker Terms, together with any separate commercial agreement, constitute the entire agreement between us. They replace all previous discussions or agreements.
18.2. Changes to Terms: We may update these ID Checker Terms by (depending on the nature of the changes):
a) Posting updated ID Checker Terms on the Website;
b) Giving you 14 days’ notice by email.
Your continued use after changes means you accept the new ID Checker Terms. If you don’t accept changes, you must stop using ID Checker.
18.3. No Partnership: Nothing in these ID Checker Terms creates a partnership, joint venture, or employment relationship. You cannot make commitments on our behalf.
18.4. Severability: If any part of these ID Checker Terms is found to be unenforceable, the rest remains in full effect.
18.5. No Waiver: If we don’t enforce a right immediately, it doesn’t mean we’ve given up that right.
18.6. Force Majeure: Neither party is liable for failure to perform due to circumstances beyond reasonable control (natural disasters, war, pandemics, internet failures, government action, etc.).
18.7. Assignment: You cannot transfer your rights or obligations without our written consent. We can assign our rights to any successor company.
18.8. Third Party Rights: Only you and we have rights under this agreement. Third parties (including customers) have no rights to enforce these ID Checker Terms.
19. Yoti Contracting Entity, Dispute Resolution and Governing Law and Jurisdiction
19.1. The Yoti entity you are contracting with is:
a) If you are based in the USA or Canada: Yoti USA Inc, a company registered in California whose company registration number is C4047096 and whose registered office is at 345 Grove Street, Second Floor, San Francisco, CA94102.
b) If you are based in Australia or New Zealand: Yoti Australia Pty Ltd, a company registered in Victoria whose company registration number is (ABN 49 634 795 841) with registered offices at The Hub Southern Cross, L2 696 Bourke Street, Melbourne, 3000, Victoria Australia.
c) If you are based anywhere else in the world: Yoti Limited, a company registered in England and Wales whose company registration number is 08998951 and whose registered office is at 6th Floor, 107 Leadenhall St, London, EC3A 4AF, United Kingdom.
19.2. These ID Checker Terms are governed by the laws of England and Wales.
19.3. The courts of England and Wales have exclusive jurisdiction for any disputes, unless we agree otherwise.
19.4. Before starting court proceedings, we both agree to:
a) Discuss the issue in good faith;
b) Consider mediation or alternative dispute resolution;
c) Provide relevant information to resolve the dispute
